SUNNYVALE, CA, July 2, 2003 - SanDisk Corporation (NASDAQ: SNDK) announced today the appointment of Richard S.O. Chernicoff to the newly created position of vice president, business development. Chernicoff will be based in Sunnyvale and report to Eli Harari, SanDisk CEO and president.

"Rich's appointment reflects our commitment to pursue growth opportunities within existing and emerging new markets. Rich brings to SanDisk a wealth of legal, financial and business experience. Having previously worked with Rich, I appreciate his integrity and broad understanding of complex business issues," said Harari.

In his new position, Chernicoff will be responsible for a range of activities including mergers/acquisitions, joint ventures, strategic alliances and partnerships. Chernicoff will work closely with SanDisk OEM and retail business units, as well as engineering, finance, operations, technology and legal teams.

Chernicoff's mergers/acquisitions and capital markets expertise was developed at the international law firm of Skadden, Arps, Slate, Meagher & Flom LLP. Until early 2003, Chernicoff was a partner servicing the SanDisk account while at Brobeck, Phlegher & Harrison LLP. Through Brobeck, Phlegher & Harrison, he obtained in-depth knowledge of intellectual property and other key value drivers for technology companies. Chernicoff began his career at Ernst & Young LLP and was licensed as a certified public accountant.

Chernicoff received his B.S. degree from California State University, Northridge and a J.D. from St. John's University School of Law, New York.
